Although there are ways to dissolve a company by doing nothing, we always recommend working with a lawyer to go through the dissolution, including a due diligence panel to make sure that you have no land titles or other assets belonging to the company.
If a company is dissolved and it owns land or other assets, essentially the government takes control of those, absorbing whatever assets the company owns at its dissolution or death.
